Disclaimer of Liability
This Disclaimer and Liability Waiver ("Agreement") is entered into between GsmHelp Electronics Workshop Ltd and the Client. By signing below, the Client acknowledges and agrees to the terms outlined in this document, thereby releasing GsmHelp Electronics Workshop Ltd from any liability or responsibility associated with the services provided, to the extent permissible under UK law.
-
Scope of Services and Responsibility Limitation
The Client acknowledges that the services provided by GsmHelp Electronics Workshop Ltd are limited to repair, reprogramming of electronic modules, locksmithing, and related work as specified. The Company is not responsible for any consequences outside the specific services provided, including, but not limited to, interference with other vehicle systems or unintentional system reconfigurations.
Reference: This is based on UK contract law principles of freedom of contract and clearly defines the scope of service.
-
Exclusion of Liability for Future Malfunctions
GsmHelp Electronics Workshop Ltd is not liable for any malfunctions, failures, or damages that arise after service completion, whether directly or indirectly related to the serviced modules, electronics, or locks. Automotive and electronic systems are complex and may be influenced by unrelated issues, and the Client agrees to bear these risks.
Reference: Supported by Section 2(2) of the Unfair Contract Terms Act 1977, allowing reasonable limitations on liability for post-service issues.
-
No Warranty of Results
GsmHelp Electronics Workshop Ltd does not guarantee specific results or outcomes from the services performed. No warranties, express or implied, are provided for service longevity, compatibility with future upgrades, or full system restoration. Any implied warranties are hereby disclaimed.
Reference: Supported by the Consumer Rights Act 2015, which permits clear disclaimers of implied warranties if explicitly stated.
-
Waiver of Liability for Subsequent System Interference
The Client agrees that GsmHelp Electronics Workshop Ltd is not responsible for any issues resulting from interference with other vehicle systems, including but not limited to alarm systems, immobilizers, or other modules. The Client assumes full responsibility for any additional repair needs arising from such interference.
Reference: Freedom of contract under UK contract law allows parties to set terms to limit liability for ancillary issues.
-
Assumption of Risk by Client
By authorizing GsmHelp Electronics Workshop Ltd to perform repairs, the Client acknowledges the inherent risks involved in vehicle electronics and locksmith work. The Client accepts all risks associated with modifications or repairs that may impact vehicle performance.
Reference: The Volenti non fit injuria principle under UK common law allows for an assumption of risk in potentially risky service engagements.
-
Indemnification Clause
The Client agrees to indemnify and hold GsmHelp Electronics Workshop Ltd harmless from any third-party claims, damages, costs, or expenses related to the services rendered. This includes claims from insurance companies, dealerships, or future owners regarding the work performed.
Reference: UK contract law principles support indemnity clauses to protect businesses from third-party claims.
-
Waiver of Liability for Locksmith and Key Services
For locksmith and key services, GsmHelp Electronics Workshop Ltd is not responsible for future malfunctions or security vulnerabilities. The Client releases the Company from any claims or liabilities arising from lock issues post-service.
Reference: Supported by Section 49 of the Consumer Rights Act 2015, which limits responsibility for issues beyond the immediate locksmith work performed.
-
No Liability for Loss or Theft During Custody
The Client agrees that GsmHelp Electronics Workshop Ltd is not responsible for loss, damage, or theft of the vehicle or its contents while in the Company’s care. While reasonable precautions will be taken, the Client assumes all risk associated with the custody of their vehicle.
Reference: Section 11 of the Consumer Rights Act 2015 supports reasonable liability limits for incidental loss or damage.
-
Release of Liability for Component Incompatibility
GsmHelp Electronics Workshop Ltd is not liable for issues arising from the incompatibility of components or modules. The Client acknowledges that certain electronic repairs or installations may require additional compatibility adjustments.
Reference: UK Consumer Rights Act 2015 allows for exclusions regarding component compatibility if explicitly stated.
-
Acknowledgment of Final Inspection Requirement
The Client is responsible for performing a final inspection of the vehicle or equipment upon completion of services. Any claims or complaints regarding the service must be made before taking possession of the vehicle, as GsmHelp Electronics Workshop Ltd is not liable for post-inspection issues.
Reference: UK contract law recognizes a "final inspection" clause as a valid limitation of liability when signed by both parties.
- 30-Day Payment Deadline for Completed Repairs
The Client agrees to settle outstanding invoices within 30 days of notification that the repair is complete. After 30 days without payment, GsmHelp Electronics Workshop Ltd reserves the right to hold the item. If payment is not received within an additional 30 days (totaling 60 days), the item may be disposed of in accordance with the Torts (Interference with Goods) Act 1977.
Reference: This clause is supported by the Torts (Interference with Goods) Act 1977 and allows for the lawful disposal of unclaimed goods.
- Entire Agreement and Severability Clause
This Agreement constitutes the entire understanding between GsmHelp Electronics Workshop Ltd and the Client. If any provision of this Agreement is found invalid or unenforceable, all other provisions remain valid and enforceable.
Reference: The Interpretation Act 1978 in UK law supports severability in contract clauses, allowing invalid parts to be removed without voiding the entire agreement.
Acknowledgment and Agreement
I, the undersigned Client, have read and understood this Disclaimer and Liability Waiver. I acknowledge that GsmHelp Electronics Workshop Ltd has explained these terms, and I agree to all provisions within this document.
